1. Agreement to Terms
By accessing or using the Vendora marketplace platform — including our website at vendora-ivory.vercel.app and our mobile applications ("the Service") — you agree to be bound by these Terms of Service ("Terms").
These Terms constitute a legally binding agreement between you and Nexora Technologies Limited, a company registered in Nigeria ("Vendora", "we", "us", "our").
If you do not agree to these Terms, please do not use the Service.

2. Who Can Use Vendora
You must meet the following requirements to use Vendora:
- You must be at least 18 years old, or the legal age of majority in your jurisdiction.
- You must have the legal capacity to enter into a binding agreement.
- You must not be prohibited from using the Service under applicable Nigerian law or any other applicable law.
By using the Service, you represent and warrant that you meet all of the above requirements.
3. Account Registration
3.1 Creating an Account
To access most features of Vendora, you must register for an account. You agree to provide accurate, current, and complete registration information and to keep your information up to date.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at f.mfonn@gmail.com if you suspect unauthorized access
3.3 One Account Per User
You may not create multiple accounts for deceptive purposes. We reserve the right to suspend or terminate duplicate or fraudulent accounts.
4. Vendor Accounts
4.1 Becoming a Vendor
To sell products on Vendora, you must register as a vendor and provide accurate business information including your business name, contact details, and valid Nigerian bank account for payouts.
4.2 Vendor Responsibilities
As a vendor, you agree to:
- Only list products that you are legally authorised to sell
- Ensure product descriptions, images, and prices are accurate
- Fulfil orders promptly and as described in your listing
- Comply with all applicable Nigerian consumer protection laws
- Not list prohibited items (see Section 8)
4.3 Vendor Fees
Vendora may charge vendors a subscription fee or commission on sales. Current fee structures will be clearly communicated during vendor onboarding and may be updated with prior notice. Early access vendors may be offered promotional pricing during the launch period.
4.4 Vendor Payouts
Payouts to vendors will be processed to the registered Nigerian bank account. Payout timelines will be communicated within the platform. Vendora reserves the right to withhold payouts in cases of suspected fraud or unresolved disputes.
5. Orders and Purchases
5.1 Order Placement
When you place an order on Vendora, you are making an offer to purchase a product from an independent vendor. The order is confirmed once payment is successfully processed and the vendor accepts the order.
5.2 Pricing
All prices displayed on the platform are set by individual vendors. Vendora does not guarantee that prices are accurate at all times but will make reasonable efforts to display current pricing.
5.3 Payment
Payments are processed securely through our integrated payment partners (such as Paystack). By making a purchase, you authorise us to charge the amount shown at checkout to your selected payment method. We do not store your full card details.
5.4 Order Cancellations
Orders may be cancelled before the vendor begins processing. Once an order is in processing or dispatch, cancellations may not be possible. Contact support at f.mfonn@gmail.com for assistance.
6. Delivery
Delivery services on Vendora are facilitated through our logistics platform, Swiftsend, or third-party delivery partners. Delivery timelines are estimates and may vary based on location, traffic, and other factors. Vendora is not liable for delays caused by factors outside our reasonable control.
7. Returns and Refunds
7.1 Return Eligibility
Returns are subject to the individual vendor's return policy, which will be displayed on the product listing or at checkout. Generally, items may be returned if:
- The product received is significantly different from the description
- The product arrives damaged or defective
- The wrong item was delivered
7.2 How to Request a Return
To initiate a return, contact the vendor through the Vendora platform within 48 hours of delivery. If the issue is unresolved, escalate to Vendora support at f.mfonn@gmail.com.
7.3 Refunds
Approved refunds will be processed to your original payment method within 5–10 business days, depending on your bank or payment provider. Vendora reserves the right to refuse refund requests that do not meet our return criteria.
8. Prohibited Items and Activities
8.1 Prohibited Products
Vendors may not list, and users may not attempt to purchase, any of the following:
- Illegal substances, drugs, or controlled materials
- Counterfeit or stolen goods
- Weapons, ammunition, or explosive materials
- Products that infringe on intellectual property rights
- Items prohibited by Nigerian law or applicable regulations
8.2 Prohibited User Activities
You agree not to:
- Use the platform for any unlawful or fraudulent purpose
- Attempt to gain unauthorized access to any part of the Service
- Post false, misleading, or defamatory content
- Harass, abuse, or threaten other users or vendors
- Scrape, copy, or redistribute content from the platform without permission
- Use automated bots or scripts to interact with the Service
- Circumvent any security or authentication measures
9. Intellectual Property
All content on the Vendora platform — including logos, design, software, text, and graphics — is the property of Nexora Technologies Limited or its licensors and is protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.
Vendors retain ownership of their product images and descriptions but grant Vendora a non-exclusive licence to display their content on the platform for the purpose of operating the marketplace.
10. Dispute Resolution
10.1 Between Buyers and Vendors
If a dispute arises between a buyer and a vendor, both parties should first attempt to resolve it directly through the platform's messaging feature.
10.2 Vendora Mediation
If the dispute is not resolved within 72 hours, either party may escalate it to Vendora by contacting f.mfonn@gmail.com. Vendora will review the evidence provided by both parties and make a fair determination, which may include issuing a refund, releasing payment, or taking action against the offending party.
10.3 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes that cannot be resolved through our mediation process shall be subject to the jurisdiction of the courts of Rivers State, Nigeria.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- Vendora is a marketplace facilitator and is not responsible for the quality, safety, legality, or accuracy of products listed by vendors.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
- Our total liability to you for any claim arising from your use of the Service shall not exceed the total amount you paid to Vendora in the 30 days prior to the claim.
12. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by Nigerian law.
13. Termination
Vendora reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or that we believe is harmful to other users, vendors, or the platform. You may also delete your account at any time by contacting f.mfonn@gmail.com.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you through the app or by email at least 7 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms.
